Intellectual Property and Copyright Protection

• Ownership: All content, methodologies, templates, and software created by Vision Makers (collectively, the “Materials”) remain the exclusive property of Vision Makers, whether pre‑existing or developed expressly for you.
• License Grant: We provide you a non‑exclusive, worldwide, royalty‑free license to use the Materials solely for internal strategic planning and execution within your organization.
• Restrictions: You may not reproduce, distribute, modify, or create derivative works of the Materials for commercial resale or external distribution without prior written consent from Vision Makers.
• User Contributions: Any feedback, suggestions, or content you submit becomes a non‑exclusive, irrevocable, royalty‑free license to Vision Makers to use, modify, and incorporate into our services.

Data Privacy and Security

1. We will handle personal and business data in accordance with our Privacy Policy, which is incorporated by reference into these Terms.
2. Vision Makers employs commercially reasonable safeguards to protect your strategic information, but we do not guarantee absolute security against unauthorized access or breaches.
3. You are required to maintain the confidentiality of any login credentials and promptly notify us via the Contact Us page of any suspected unauthorized use.

Termination, Amendments, and Dispute Resolution

• This agreement remains in effect until either party terminates it with thirty (30) days written notice; termination does not relieve you of obligations accrued prior to termination.
• Vision Makers may amend these Terms at any time; continued use of the platform after posting amended terms constitutes acceptance of the changes.
• Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in the United States, in accordance with the rules of the American Arbitration Association.
